Welcome to SoundWave Studios. By accessing our studio facilities, utilizing our services (including audio recording, mixing, mastering, sound design, voiceover recording, and podcast production), and engaging with our website, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between you ("Client," "User," or "You") and SoundWave Studios, located at 6789 Sunset Boulevard, Hollywood, CA 90028, and governed by California law. By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our services.

3. Booking and Payment

All studio sessions and services must be booked in advance. A deposit, as specified at the time of booking, may be required to secure your reservation. The remaining balance is due upon completion of the session or service, unless otherwise agreed upon in writing.

We accept payments via credit card (Visa, Mastercard, American Express), PayPal, and cash (in person only). Late payments may incur a late fee of 5% of the outstanding balance per week.

4. Cancellation Policy

Cancellations must be made at least 48 hours prior to the scheduled session to receive a full refund of the deposit. Cancellations made less than 48 hours before the session may result in forfeiture of the deposit. No-shows will be charged the full session fee.

SoundWave Studios reserves the right to cancel or reschedule sessions due to unforeseen circumstances, such as equipment malfunction or emergencies. In such cases, Clients will be offered a full refund or the option to reschedule the session at no additional cost.

5. Intellectual Property

The Client retains all ownership rights to their original audio recordings and compositions. However, SoundWave Studios retains ownership of any recordings, mixes, masters, or sound designs created by our engineers as part of our services until full payment has been received. Upon full payment, the Client will receive a license to use the finished product for commercial or non-commercial purposes, as agreed upon in writing.

Clients are responsible for obtaining all necessary licenses and permissions for any copyrighted material used in their recordings, including music, samples, and sound effects. SoundWave Studios is not responsible for any copyright infringement issues arising from the Client's use of copyrighted material.

6. Studio Usage

Clients are expected to treat the studio facilities and equipment with respect. Any damage to the studio or equipment caused by the Client or their guests will be the responsibility of the Client, and the Client will be liable for the cost of repairs or replacement.

Smoking, eating, and drinking are prohibited in the recording booth. Clients are responsible for maintaining a clean and orderly workspace during their session. Illegal substances are strictly prohibited on the premises.

7. Liability

SoundWave Studios is not liable for any loss, damage, or injury to persons or property occurring on the premises, except in cases of gross negligence or willful misconduct on the part of SoundWave Studios or its employees. Clients are responsible for their own safety and the safety of their guests while on the premises.

SoundWave Studios is not responsible for any loss or corruption of Client data or audio files. Clients are strongly encouraged to back up their data before and after each session.

8. Confidentiality

SoundWave Studios agrees to maintain the confidentiality of Client information and audio recordings. We will not share Client data with third parties without the Client's express consent, except as required by law.

Clients are responsible for protecting the confidentiality of their own passwords and account information.

9. Termination

SoundWave Studios reserves the right to terminate services to any Client who violates these Terms and Conditions or engages in inappropriate or disruptive behavior. In such cases, the Client may forfeit any deposits or payments made.

Clients may terminate services at any time, subject to the cancellation policy outlined in Section 4.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms and Conditions shall be resolved in the state or federal courts located in Los Angeles County, California.

11. Amendments

SoundWave Studios reserves the right to amend these Terms and Conditions at any time without prior notice. Clients are responsible for reviewing the Terms and Conditions periodically for changes. Continued use of our services constitutes acceptance of the amended Terms and Conditions.

13. Force Majeure

SoundWave Studios shall not be liable for any failure to perform its obligations under these Terms and Conditions due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, strikes, natural disasters, equipment failure, or disruptions in internet or power service.

14. Waiver

No waiver of any provision of these Terms and Conditions shall be effective unless in writing and signed by both parties. Any waiver of any provision of these Terms and Conditions shall not constitute a waiver of any other provision, nor shall it constitute a continuing waiver.

15. Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law. The parties will endeavor to replace the invalid or unenforceable provision with a valid and enforceable provision that achieves, to the greatest extent possible, the economic, business, and other purposes of the invalid or unenforceable provision.

16. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and SoundWave Studios with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and SoundWave Studios with respect to such subject matter.
